In the Court\u2019s judgment, Mimmie Chan J took the opportunity to review whether an \u201cOptional\/Inchoate Arbitration Clause\u201d is valid.<\/p>\n<p>The Respondent (being the borrower) entered into a loan agreement with the Applicant (a licensed money lender). The parties further entered into a supplemental loan agreement which contained a clause stating that \u201cAny dispute\u2026arising out of\u2026the Loan Agreement shall\u2026at the option of the Claimant (or the Plaintiff, as may be applicable), be referred to and finally resolved by arbitration\u2026or by court proceedings in Hong Kong courts\u201d (\u51e1\u56e0\u501f\u6b3e\u5408\u7d04\u2026\u6240\u5f15\u8d77\u7684\u2026\u722d\u8b70\u2026\uff0c\u5747\u61c9\u7531\u7533\u8acb\u4eba(\u6216\u539f\u544a\u4eba\uff0c\u8996\u4f55\u8005\u9069\u7528\u800c\u5b9a)\u9078\u64c7\u63d0\u4ea4\u2026\u4ef2\u88c1\uff0c\u6216\u63d0\u4ea4\u9999\u6e2f\u6cd5\u5ead\u9032\u884c\u6cd5\u9662\u7a0b\u5e8f\uff0c\u6700\u7d42\u89e3\u6c7a) (\u201c\ud835\udc2d\ud835\udc21\ud835\udc1e \ud835\udc02\ud835\udc25\ud835\udc1a\ud835\udc2e\ud835\udc2c\ud835\udc1e\u201d). The Applicant eventually commenced arbitration which the Respondent did not take part. The arbitrator rendered an award without holding a hearing which he found in favour of the Applicant (\u201c\ud835\udc2d\ud835\udc21\ud835\udc1e \ud835\udc00\ud835\udc30\ud835\udc1a\ud835\udc2b\ud835\udc1d\u201d). The Applicant sought, on an ex parte basis, for enforcement of the Award.<\/p>\n<p>Mimmie Chan J held that despite \ud835\udc7b\ud835\udc90\ud835\udc8e\ud835\udc8e\ud835\udc9a \ud835\udc6a\ud835\udc77 \ud835\udc7a\ud835\udc9b\ud835\udc86 &amp; \ud835\udc6a\ud835\udc90 \ud835\udc97 \ud835\udc73\ud835\udc8a &amp; \ud835\udc6d\ud835\udc96\ud835\udc8f\ud835\udc88 (\ud835\udc7b\ud835\udc93\ud835\udc82\ud835\udc85\ud835\udc8a\ud835\udc8f\ud835\udc88) \ud835\udc73\ud835\udc95\ud835\udc85 [2003] 1 HKC 418 (Ma J as Ma CJ then was) and \ud835\udc72\ud835\udc8a\ud835\udc8f\ud835\udc8d\ud835\udc8a \ud835\udc6a\ud835\udc8a\ud835\udc97\ud835\udc8a\ud835\udc8d \ud835\udc6c\ud835\udc8f\ud835\udc88\ud835\udc8a\ud835\udc8f\ud835\udc86\ud835\udc86\ud835\udc93\ud835\udc8a\ud835\udc8f\ud835\udc88 \ud835\udc73\ud835\udc95\ud835\udc85 \ud835\udc97 \ud835\udc6e\ud835\udc86\ud835\udc90\ud835\udc95\ud835\udc86\ud835\udc84\ud835\udc89 \ud835\udc6c\ud835\udc8f\ud835\udc88\ud835\udc8a\ud835\udc8f\ud835\udc86\ud835\udc86\ud835\udc93\ud835\udc8a\ud835\udc8f\ud835\udc88 \ud835\udc73\ud835\udc95\ud835\udc85 [2021] 6 HKC 524 (Mimmie Chan J) which held that \u201can agreement which does not compel parties to have disputes or differences resolved by agreement is not an arbitration agreement\u201d, the Court was of the view that the Clause was a valid arbitration clause. Although the Clause was unlike the line of cases which adopts language such as \u201cmay\u201d or \u201ccan\u201d, the Court was not persuaded that this would make a difference. Adopting a pro-arbitration approach and ascertaining the objective intention of the parties at the time of entering into the contract, the Court found that a challenge against the validity of the Clause was not successful.<\/p>\n<p>That said, the Court was persuaded that the Respondent was not given proper opportunity to present his case. Accepting the Respondent\u2019s submission, the Court noted that the email address which the Notice of Arbitration was served to and the email address on the Loan Agreement was different. The Court emphasised that despite adopting a pro-arbitration approach, an arbitral award is recognized and enforced by the Court only if the award and the arbitral process leading to the award is structurally intact and there is due and fair process: [28]. The Court cannot turn a blind eye to the irregular service of the notice of arbitration. Eventually, the Court set aside the Enforcement Order and ordered the Applicant to pay the Respondent costs on an indemnity basis.<\/p>\n<p>Simon So, a fellow of CIArb (with Herman Ho, a member of CIArb) represented the Respondent.
